1. Agreement to Terms

These Terms of Service ("Terms") govern your use of RepoPad, a macOS application developed by Sydcup OÜ ("we", "us", or "our"), registered at Sepapaja tn 6, 15551 Tallinn, Estonia.

By installing or using RepoPad, you agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the application.

2. Eligibility

You must be at least 16 years old to use RepoPad. By using the application, you represent and warrant that you meet this age requirement.

3. Description of Service

RepoPad is a macOS menu bar application that provides quick access to Git repositories on your local machine. It allows you to launch code editors, Git clients, and terminal sessions through configurable keyboard shortcuts.

RepoPad operates entirely on your local device. It does not host, store, or transmit your source code, repository data, or file contents to any external server.

4. Free and Pro Plans

4.1 Free Plan

RepoPad offers a free tier with limited features, including support for up to 2 repositories and a limited selection of tool integrations. The free plan is available indefinitely at no cost.

4.2 Pro Plan

The Pro plan unlocks all features, including unlimited repositories, all editor and Git GUI integrations, tag management, git status indicators, and workflow detection. The Pro plan is available through a paid annual subscription.

4.3 License Keys

Pro plan access is granted via a license key provided upon purchase. License keys are personal and non-transferable. Each license key is valid for one user. Sharing, redistributing, or reselling license keys is prohibited.

5. Payments & Subscriptions

All payments for the Pro plan are processed by Lemon Squeezy (Lemon Squeezy, LLC), our Merchant of Record. By purchasing a Pro subscription, you also agree to Lemon Squeezy's Terms of Service.

• Billing cycle: Subscriptions are billed annually from the date of purchase.
• Renewal: Subscriptions automatically renew unless cancelled before the end of the current billing period.
• Cancellation: You may cancel your subscription at any time through Lemon Squeezy. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time.
• Price changes: We reserve the right to change subscription pricing. Existing subscribers will be notified at least 30 days before any price change takes effect on their next renewal.

6. Refund Policy

If you are unsatisfied with RepoPad Pro, you may request a refund within 14 days of purchase by contacting support@repopad.com. Refund requests after this period are handled at our discretion. This does not affect your statutory rights under applicable consumer protection laws, including the EU Consumer Rights Directive.

7. Intellectual Property

RepoPad, including its source code, design, icons, documentation, and branding, is the intellectual property of Sydcup OÜ and is protected by copyright and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use RepoPad on your personal devices in accordance with these Terms. You may not:

• Copy, modify, or distribute the application
• Reverse engineer, decompile, or disassemble the application
• Remove or alter any proprietary notices or labels
• Use the application for any unlawful purpose

8. Your Responsibilities

You agree to:

• Use RepoPad in compliance with all applicable laws and regulations
• Keep your license key confidential and not share it with others
• Not attempt to circumvent license validation or access Pro features without a valid license
• Not use the application to interfere with or disrupt any systems or networks

9. Disclaimer of Warranties

RepoPad is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that RepoPad will be uninterrupted, error-free, or free of harmful components. RepoPad interacts with your local file system and third-party applications; you are responsible for maintaining backups of your data.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Sydcup OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or profits, arising out of or in connection with your use of RepoPad.

Our total aggregate liability for any claim arising out of these Terms shall not exceed the amount you paid for RepoPad in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or death or personal injury caused by negligence.

11. Termination

We may suspend or terminate your access to RepoPad Pro if you violate these Terms, including but not limited to sharing license keys or attempting to circumvent licensing.

Upon termination, your license to use Pro features will be revoked. The free tier will remain available. Sections 7, 9, 10, and 13 survive termination.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of RepoPad after changes are posted constitutes your acceptance of the revised Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law principles.

Any disputes arising from these Terms shall be resolved through the courts of Tallinn, Estonia. If you are a consumer in the European Union, you also have the right to bring proceedings in the courts of your country of residence and to use the EU Online Dispute Resolution platform.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
